Consolidated FDI Policy, 2014

The Department of Industrial Policy and Promotion (“DIPP”), Government of India has unveiled the much awaited policy on Foreign Direct Investment on 17.04.2014 (“Consolidated FDI Policy”). This policy supersedes all earlierpolicies, circulars, press notes issued on FDI by DIPP and will remain in force until superseded. The Consolidate FDI policy is more of a compilation of circulars issued by Reserve Bank of India and press notes issued by DIPP during the last year. The key changes brought by new FDI policy are as follow:

The Government of India, vide Press notes 4, 5 and 6 (2013 series), has notified changes in the Foreign Direct Investment Policy , which was cleared by the Cabinet early this month. The amendments include increase in the sectoral investment limits across different sectors, easing of conditions for multi-brand retail and a more restrictive definition of ‘control’ of a company. Following is a discussion on these Press Notes: Press Note No.4 (2013 series): Change in definition of “Control” The concept of "control" arises in several different contexts in corporate transactions. This policy supersedes all earlier policies, circulars, press notes issued on FDI by DIPP. Reporting under Foreign Exchange Management Act, 1999 (FEMA) Today, a huge number of Indian entities are engaged in various transactions relating to foreign exchange which are governed by FEMA, 1999. Foreign Exchange Management Act, 1999 and the various regulations issued by the Reserve Bank of India stipulate various reporting requirements on the companies engaged in foreign exchange transactions. Every company engaged in the activity involving foreign exchange is required to do the reporting compliances within the stipulated time period. Penal provisions are applicable on the company for every late or Non-filing of returns by the Company.
